01Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the setlist application, including the embedded Shopify app and this website (together, the “Service”). By installing or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you agree on its behalf and represent that you have authority to do so.

02The service

setlist is an operational product-development tool for Shopify merchants. It helps you plan products, build variants and SKUs, maintain a bill of materials and costs, run user testing and forecasts, and stage an unlisted draft product to Shopify. The Service does not list or sell products on your behalf — publishing remains in your control inside Shopify.

03Eligibility and accounts

  • You must have an active Shopify store and the authority to install apps on it.
  • You are responsible for activity that occurs through your store’s connection to the Service and for the people you give access.
  • You must provide accurate information and keep your integration credentials, such as a connected Fulfil API key, secure.

04Acceptable use

You agree not to:

  • Use the Service to violate any law, or Shopify’s or a third party’s terms or rights.
  • Reverse engineer, resell or attempt to gain unauthorized access to the Service or its underlying systems.
  • Interfere with the integrity or performance of the Service, or upload content you do not have the right to use.

05Your data and Shopify

You retain ownership of the store and product data you bring to or create in the Service. You grant setlist the rights needed to operate the Service for you — for example, to read products and inventory and to stage a draft product when you choose to. Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.

06Third-party services

The Service integrates with Shopify and, optionally, Fulfil. Your use of those platforms is governed by their own terms, and setlist is not responsible for them. Access to the Service depends on your Shopify store remaining in good standing and on the availability of these third-party platforms.

07Fees and billing

Paid plans, where offered, are billed through Shopify’s billing system according to the pricing shown at install or in the app. Unless required by law, fees are non-refundable. Uninstalling the app stops future charges; it does not refund amounts already billed for the current period.

08Intellectual property

The Service, including its software, design and the setlist name and marks, is owned by us and our licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. Nothing here transfers ownership of the Service to you.

09Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. setlist supports your product preparation but does not guarantee any commercial outcome, and figures such as costs, margins and forecasts are tools to inform your own decisions.

10Limitation of liability

To the maximum extent permitted by law, setlist will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid for the Service in the twelve months before the claim.

11Termination

You may stop using the Service at any time by uninstalling the app from your Shopify store. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to others or to the Service. On termination, the rights granted to you end and we handle your data as described in the Privacy Policy.

12Changes to these terms

We may update these Terms from time to time. We will post the new version here and update the date above. Significant changes will be communicated through the app or by email where appropriate. Continuing to use the Service after a change takes effect means you accept the updated Terms.

13Governing law

These Terms are governed by the laws of the jurisdiction in which setlist operates, without regard to conflict-of-law rules. Any dispute will be subject to the exclusive jurisdiction of the courts located there, unless applicable law requires otherwise.
